Heather Carmody and Ellie Siegel formed Carmody Siegel LLC to assist businesses and individuals with matters of general corporate law, mergers and acquisitions and the private placement of securities.

 

Carmody Siegel attorneys have significant experience providing counsel to various types of clients on many and varied corporate matters. We use that experience to offer our clients a friendly and more personalized alternative to a traditional law firm, while still providing a high quality work product.

OUR ATTORNEYS

 

Heather Carmody

Heather Carmody has been practicing in the areas of corporate law, mergers and acquisitions, and securities (both public and private) throughout her career. Most recently, Ms. Carmody was with Duane Morris LLP, where she served as a Partner in the Corporate Department from 2012 through the end of 2016 and an Associate in the same group from 2009 to 2012. Ms. Carmody moved to Duane Morris in 2009 following many years at WolfBlock LLP, where she was an associate in the Corporate and Securities department, honing her corporate law craft after beginning her career at Dechert LLP.

Throughout her career, Ms. Carmody has developed a broad corporate practice in all of the practice areas offered by Carmody Siegel LLC, including the representation of clients in mergers and acquisitions, joint venture transactions, debt and equity securities offerings, Securities and Exchange Commission compliance, corporate governance, operating agreements and inter-investor contracts, customer contracts, and other general corporate matters. She has represented clients ranging from individuals to Fortune 500 companies in various capacities and looks forward to working with you.

Ms. Carmody received her JD, with Honors, from Rutgers University School of Law in Camden, New Jersey, and her undergraduate BA in Political Science from the College of Wooster in Wooster, Ohio. Ms. Carmody is licensed to practice law in Pennsylvania and New Jersey.


Ellie Siegel

Ellie Siegel has most recently been providing business development and various other consulting services, often acting as a connector to assist clients and colleagues in expanding their own networks. Prior to 2015, Ms. Siegel worked for SMG, a leader in facility management, during the privatization of the Pennsylvania Convention Center Authority. Preceding that, she practiced at a boutique bankruptcy law firm, Ciardi Ciardi & Astin, representing clients in bankruptcy litigation, preparing Schedules and Statements of Financial Affairs, and filing Chapter 11 petitions.

Ms. Siegel began her legal career at WolfBlock LLP with a broad corporate practice that included the representation of clients in mergers and acquisitions, joint venture transactions, equity securities offerings, Securities and Exchange Commission compliance, corporate governance, and general corporate matters. Ms. Siegel prepared limited liability company agreements, licenses, corporate organizational documents, due diligence review memoranda, ancillary documents, and Hart-Scott-Rodino filings for transactions valued up to $4.7 billion.

Ms. Siegel received her JD and MBA from Rutgers University, and her undergraduate BFA from the Tisch School for the Arts at New York University. Ms. Siegel is licensed to practice law in Pennsylvania. She has served as a consultant to the International Alliance of Theatrical Stage Employees, and was a licensed Entertainment Agent for many years. Ms. Siegel serves on the Board of Directors of Woodstock Music Labs, an innovative music education school based in Woodstock, NY.

General Corporate Organizational Matters

Formation of various entities, from corporations to limited liability companies and partnerships, and preparation of organizational documents necessary for those entities. In addition to the basics, such as Articles of Incorporation, Bylaws, Shareholder Agreements, Certificates of Formation or Organization, Operating Agreements, Partnership Agreements and similar documents, we can also provide advice on best corporate practices and preparation of basic policies, form agreements, and similar documentation necessary for day-to-day operation. Organizational matters are ongoing, so we also review existing documents for compliance and other updates, either as a one-time service or on a continual periodic basis.

Mergers and Acquisitions (a.k.a. M&A)

Advise on, and provide documentation related to, various M&A transactions, including the purchase or sale of a business, the purchase or sale of equity or assets, mergers, joint ventures and other similar transactions. We have represented individuals, private equity groups, companies of various sizes and management groups as buyers, sellers and investors in M&A matters. These types of transactions are often complicated and we strive to provide our clients with the tools to understand the applicable M&A process and the guidance and assistance necessary to navigate these transactions to closing.

Exempt Securities Offerings (a.k.a. Private Placements)

Counsel various types of businesses, from startups to well established companies, with respect to both debt and equity securities offerings and draft or review the documentation related to any such offerings. In addition to representing companies in an offering, we have experience representing individual investors in private placement investments where we review the documents relevant to a potential investment and assist our clients in making sure the investment terms are as expected.

Commercial Contract Drafting and Review

Advise both providers and consumers of commercial goods and services, from local Mom-and-Pop operations to Fortune 100 companies, with respect to their commercial contracting needs. We provide advice on a variety of commercial contracting situations, including, but not limited to, services contracts, supply contracts, requirements contracts, master services agreements and distribution agreements. This category may include not only reviewing and negotiating general commercial agreements, but also reviewing and updating a company’s form documents.
